It is that simple, and still it is one most frequently skipped by consultants. <\/p>\n\n\n\n<p>Free Zones offer genuine advantages including 100% foreign ownership, streamlined administration, and tax benefits. But a Free Zone company cannot directly trade with UAE mainland clients without either a mainland branch or a separate mainland entity.  <\/p>\n\n\n\n<p>However, <a href=\"https:\/\/stratrich.com\/ae\/services\/business-setup-uae-mainland\/\">mainland-based companies<\/a> provide you with direct access to the UAE local market and give you the opportunity to operate with customers all over the UAE without any mediation and restrictions. They may come with slightly higher regulation, but their advantages include greater freedom to operate. <\/p>\n\n\n\n<p>If your revenue model depends on UAE-based customers, a standalone Free Zone structure will legally restrict your ability to do business with them.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th><strong>Client Location<\/strong> <\/th><th><strong>Recommended Jurisdiction\/ Consideration<\/strong> <\/th><\/tr><\/thead><tbody><tr><td>Primarily UAE mainland clients <\/td><td>Mainland license or dual structure <\/td><\/tr><tr><td>International clients only <\/td><td>Free Zone typically sufficient <\/td><\/tr><tr><td>Mix of both <\/td><td>Dual structure or mainland with Free Zone branch <\/td><\/tr><tr><td>UAE government contracts <\/td><td>Mainland license required <\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p><em>A consultant who does not ask this question before recommending a jurisdiction is not advising you based on your business. They are recommending what is easiest to sell.<\/em> <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Question 3: What is the current ownership structure of the business, and what will it be in three years? <\/h2>\n\n\n\n<p>In the United Arab Emirates, full foreign ownership is now permitted for all mainland activities, except for industries specified by the Ministry of Economy, following changes to the Commercial Companies Law in 2021. The type of legal entity you choose will determine issues of shares transfers, investor acquisition, and conflict resolution among others.  <\/p>\n\n\n\n<p>If you plan to operate with partners in the present or within a few years, your Memorandum of Association (MOA) should account for this right from the start; otherwise, it will require amendment. Restructuring after the fact is expensive and time-consuming. Share transfers require notarised documentation, regulatory approvals, and in some cases updated licenses. <\/p>\n\n\n\n<p><strong>A competent consultant asks: <\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>How many shareholders are involved now <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Whether any shareholders are corporate entities rather than individuals <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Whether you expect to add investors or change the ownership split <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Whether there is any intention to eventually exit or sell the business <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p><em>If this conversation never happens, your MOA will almost certainly need to be amended later at a cost and disruption that was entirely avoidable.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Question 4: Have you considered your business&#8217;s corporate tax position? <\/h2>\n\n\n\n<p><a href=\"https:\/\/stratrich.com\/ae\/services\/corporate-tax-services\/\">Corporate tax (CT)<\/a> became enforceable in the UAE from June 1, 2023, under Federal Decree-Law No. 47 of 2022. The applicable tax rate is 9% for taxable income exceeding AED 375,000. Income from mainland UAE activities or non-qualifying sources is subject to this standard 9% rate. However, Free Zone entities can access a 0% rate on qualifying income, but only if they meet the strict conditions of the Qualifying Free Zone Person (QFZP) regime. Because this status is not automatic, a Free Zone company must:  <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Earn qualifying income from eligible activities <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Keep non-qualifying revenue below the de minimis threshold (the lower of 5% of total revenue or AED 5 million) <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Maintain genuine economic substance within the Free Zone <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Prepare and maintain audited financial statements annually, regardless of turnover <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Comply with Transfer Pricing regulations and documentation <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>If the <em>de minimis<\/em> threshold is breached or other conditions are failed, the company loses its QFZP status for that year and the next four consecutive tax periods. During this five-year &#8220;lock-out&#8221; period, all taxable income becomes subject to the 9% corporate tax rate.  <\/p>\n\n\n\n<p>The Federal Tax Authority (FTA) has made substantial efforts in enforcement, with 93,000 inspections in 2024 compared to only 40,000 last year, resulting in an impressive 135 percent increase in enforcement. FTA matches information from companies&#8217; income tax filings against VAT, customs, and bank statements. <\/p>\n\n\n\n<p>A consultant who sets up your Free Zone company without discussing QFZP eligibility, qualifying income classification, and documentation requirements is leaving a serious gap in your compliance. Late corporate tax registration alone carries a fixed penalty of AED 10,000 under Cabinet Decision No. 75 of 2023. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Question 5: Do you have related party transactions or group companies? <\/h2>\n\n\n\n<p>If you operate as part of a group, or if you plan to run transactions between entities you control, <a href=\"https:\/\/stratrich.com\/ae\/services\/transfer-pricing\/\" target=\"_blank\" rel=\"noreferrer noopener\">transfer pricing<\/a> rules apply to you. Under the UAE corporate tax law, all transactions between related parties must be priced on an arm\u2019s length basis, meaning they must be priced as if they were between unrelated parties operating independently. <\/p>\n\n\n\n<p>This applies to goods, services, intercompany loans, royalties, and management fees. It applies to both mainland and Free Zone entities. It even applies to domestic transactions between a Dubai company and an Abu Dhabi subsidiary.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Documentation Requirements:  <\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Local File:<\/strong> You must prepare a Local File if your UAE revenue exceeds AED 200 million. <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Master File<\/strong>: This is required if you meet the revenue threshold AND are part of a Multinational Enterprise (MNE) group. Purely domestic UAE-headquartered groups with no foreign establishments are generally exempt from the Master File requirement. <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>MNE Group Threshold:<\/strong> If your group&#8217;s consolidated revenues exceed AED 3.15 billion, you must prepare both files regardless of the revenue of any individual entity. <\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Disclosure forms<\/strong>: For related party transactions above AED 40 million in aggregate must be filed with the annual corporate tax return. <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p><em>If your consultant has not asked about your group structure or related party transactions, they are setting you up without understanding the full picture of your tax obligations.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Question 6: How many people do you need to hire, and what is the timeline for this process? <\/h2>\n\n\n\n<p>Visa quotas in the UAE are tied to your office space category and jurisdiction. A flexi-desk or virtual office comes with limited visa allocation. A full office lease supports a higher quota. If you need to hire five staff members in your first year and your consultant puts you on a package that allows two visas, you will face costly structural upgrades before your business is even running properly. <\/p>\n\n\n\n<p>As per UAE Labour Laws, every non-UAE national working in any organization must have a valid work permit from the MoHRE. The organization should have a valid business license, with no regulatory violations, and the employee\u2019s employment should be relevant to that of the licensed company. <\/p>\n\n\n\n<p>A qualified consultant will always ask how many people you need to sponsor, whether they are professional or skilled roles, whether you also need family visas for investors, and what your hiring timelines looks like over the next twelve months. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Question 7: What does your three-year business plan look like? <\/h2>\n\n\n\n<p>Your business structure should be designed to support your operations two and three years after setup, not just at the moment your license is issued.
