The main challenge is not company formation but obtaining UAE residence approval, corporate banking, and complying with immigration, banking, tax, customs, and Bangladesh outbound investment rules. For most first-time investors, a standard 2-year investor or partner visa is likely to be the most practical starting point, while Golden Visa routes may become relevant later if the business reaches the required investment or revenue threshold.

Starting a UAE business from overseas is straightforward process on paper. The challenge becomes more specific when the founder also wants UAE residence, because company ownership and immigration approval sit on two different racks.

For a first-time investor, the recommended approach is to establish a Free Zone Company (FZCO) in an industry-focused jurisdiction or use a cost-focused jurisdiction such as IFZA or RAKEZ. A zero- or one-visa package allows the business to be established while the residence application is prepared.

The key areas to plan carefully are visa screening, corporate banking, Bangladesh’s outward-investment rules, customs and transport licensing, Corporate Tax, VAT and ongoing compliance.

Can a Bangladeshi national set up a UAE Company?

A Bangladeshi national can establish and own a UAE company in accordance with the applicable ownership and licensing rules. UAE law provides for 100% foreign ownership across most commercial activities, subject to the rules applicable to strategic or restricted activities.

For an investor, the important distinction is between owning the company, obtaining residence, and conducting business activities.

These three areas follow different requirements.

The company can be incorporated first. The investor residence application then follows the company’s licensing and immigration requirements. Additional approvals are required when the business moves beyond initial business activities.

This makes the business structure particularly important.

Is 100% foreign ownership available to a Bangladeshi investor?

Yes. UAE commercial company rules allow 100% foreign ownership for most activities.

A local shareholder is therefore not required simply because the founder is a Bangladeshi national. The exact licensing authority and activity should still be confirmed before incorporation because regulated and strategic activities follow separate rules.

For example, for a logistics business, a Free Zone structure provides a practical starting point for international freight forwarding, coordination and re-export activities.

The UAE Government’s current foreign ownership framework confirms that the previous requirement for majority Emirati ownership has been removed for most mainland activities.

Is there a 100 % ban on Bangladeshi Nationals?

The UAE has not officially published a blanket ban on Bangladeshi nationals. It has been denied by both the Bangladesh embassy in Abu Dhabi, in a statement issued on 22nd September 2025 and a UAE Ministry of Interior official via Gulf News.

However, visa processing for Bangladeshi nationals has faced restrictions and additional scrutiny in several categories. The investor or partner route therefore needs to be treated as an application subject to immigration and security clearance rather than as an automatic entitlement.

Why is the residence visa the main point of uncertainty?

Company ownership and residence approval are separate matters.

The company formation process establishes the legal entity. The residence process involves immigration approval, entry permission, medical fitness, Emirates ID biometrics and residence issuance.

For a Bangladeshi applicant, additional security screening should be expected. A strong application file is therefore important.

The applicant should have:

A clear business plan

Valid identification document

Evidence of the source of funds

Police clearance or other conduct documentation where required

A genuine commercial purpose

Proper company and shareholder documentation

What UAE investor visa options are available to a Bangladeshi investor?

The UAE residence framework provides several routes for investors, entrepreneurs and business partners. The appropriate route depends on the company’s structure, the investor’s financial position and the stage of the business.

For a new company, the standard investor or partner residence route remains the most practical starting point.

How does the standard 2-year UAE investor visa work?

The standard UAE investor visa is linked to ownership or partnership in a UAE company. The investor establishes the company, receives the required establishment and immigration approvals, and then applies for the residence process through the company.

It is valid for 2 years and is renewable until the company remains active and compliant.

Does the company need a visa quota before issuing an investor visa?

Yes. The company needs an appropriate visa allocation before the investor residence process is activated.

The available quota is linked to the company’s workspace and licensing arrangement. A flexi-desk provides a smaller allocation, while a physical office or warehouse supports a larger employee and visa requirement.

This is one reason the workspace should be planned at the incorporation stage.

Can the company be incorporated before the investor receives UAE residence?

Yes. This is an important part of the recommended structure. Company formation and residence are separate stages. The investor can establish the company using a zero- or one-visa package and continue preparing the residence application.

This allows the company to begin its corporate setup while the immigration process is being addressed.

However, the investor must still enter the UAE for the physical steps that require presence, including the medical fitness examination and Emirates ID biometrics.

The process typically follows this chronology:

Company License

Establishment Card

Entry Permit

Status Change (if in-country) or entry on the permit

Medical fitness test

Emirates ID biometrics

Visa Stamping

The whole process can take from 5-10 days to 2-4 weeks. This includes the GDRFA and the ICP security screening. Medical tests and Emirates ID biometrics require a physical presence of the individual. The company formation itself can be done remotely.

How does the 10-year Golden Visa work?

The UAE Golden Visa provides long-term residence to eligible investors, entrepreneurs and other qualifying individuals.

The Golden Visa is therefore better viewed as a long-term upgrade rather than the starting point for a newly established business.

What is the AED 2 million Golden Visa investment route?

The investor route is based on qualifying investment of at least AED 2 million. The evidence can take different forms depending on the specific route, including qualifying investment or company capital documentation.

This route requires significant capital commitment. It is therefore more suitable for an investor who has already decided to deploy substantial funds into the UAE business.

Can an operating logistics SME qualify through the AED 1 million revenue route?

An operating logistics SME can also qualify through the entrepreneur or the business route. It requires a UAE SME generating at least AED 1 million in annual revenue which is supported by audited accounts and the required approvals. This makes the route particularly relevant to a logistics business that intends to build genuine operations in the UAE.

The key point is timing.

A newly incorporated company does not have an established trading record on day one. The standard investor visa therefore provides a more practical starting point, with Golden Visa eligibility considered after the business develops the required financial track record.

What other visa options are available for Bangladeshi Nationals?

Green Visa: The UAE Green Residency is a renewable five-year residence route available to eligible investors and entrepreneurs without a traditional sponsor. For the investor category, the applicable requirement includes a minimum AED 1,000,000 contribution to a UAE company, subject to the prescribed conditions. Green Residence holders are exempt from the standard 180-day rule for staying outside the UAE. The exact eligibility and investment requirements should be confirmed with ICP for the applicant and business structure before filing.

Real-estate investor route: A real-estate investment provides a separate UAE residence pathway. It is not directly connected to the proposed company, but it could serve as a parallel residence option if the investor purchases qualifying UAE property.

The property-based routes include a two-year real-estate investor residence visa from approximately AED 750,000 in property investment, while the Golden Visa route requires AED 2 million in qualifying property investment. For the Golden Visa route, the relevant property value is assessed against the applicable purchase/value documentation, with mortgaged and off-plan properties subject to the current eligibility conditions.

Which visa route is most practical for a first-time Bangladeshi investor?

The most practical route for a first time Bangladeshi investor is the 2- year standard investor or partner visa. It is a self-sponsored visa that requires the lowest capital.

They can then upgrade to the 10- year Golden Visa via the SME AED 1 million revenue route once their business has a trading track record. This is the most natural fit for an operating SME as they can avoid the locking up of AED 2 million route.

The AED 2 million route might be useful if they intend to capitalize the company at that amount from the start.

Which UAE Free Zone is best for a Bangladeshi Company?

The right jurisdiction depends on what the company will actually do.

An indicative first-year licensing cost of a UAE license is approximately AED 4,500–35,000, depending on the jurisdiction and business model. Warehouse, visa, establishment-card and operational costs are additional

A consultancy or trading desk does not need the same infrastructure as a company running warehousing or manufacturing operations.

The following options are therefore relevant.

Jurisdiction

Best Suited For

Strengths

Indicative 1 year cost

Notes

DMCC

Commodities, trading, professional

Prestige Dubai address

High

Well suited to commodities and trading

IFZA (Dubai/ DIEZ)

Trading, consulting, professional services.

Dubai address; cheap; fast; remote setup

~12,900 (0-visa); ~14,900–15,000 (1 visa); +establishment card ~2,000 2,500; +visa ~3,800–4,800

Cost effective and fast; limited physical infrastructure.

RAKEZ (Ras Al Khaimah)

Cost-efficient warehousing/industrial set up, trading

Affordable warehouses/industrial land; issues free-zone AND mainland licenses

From ~6,000 (0 visa); ~12,010 with 1 visa

Cheapest; RAK address; banking slower; ~1hr+ from central Dubai

SAIF Zone/ Hamriyah (Sharjah)

Cost-efficient regional trading

SAIF airport / Hamriyah port access

Low–mid

Cost-effective SME option

KEZAD/KIZAD (Abu Dhabi)

Abu Dhabi distribution, industrial, govt/O&G supply

Khalifa Port link; warehousing options

Mid

Strong for Abu Dhabi based government of industrial supply

Ajman (AFZA)

Lowest-cost trading/e commerce

Basic Infrastructure

From ~5,750/yr (trading)

Budget-friendly;

Mainland Dubai (DET)

Direct UAE distribution, last-mile, local invoicing, road transport

Full domestic-market access

License ~15,000+; office/Ejari ~12,000+; customs code

Needed for activities requiring direct local market access

How Should a Bangladeshi Investor Structure the UAE Business?

The simplest structure is usually the strongest starting point. For a founder starting a business, a single Free Zone Company (FZCO) is sufficient for the first phase.

A holding company is not required simply because the investor is foreign. Keeping the structure simple reduces initial costs, administrative work and banking complexity.

When should you consider a two-company structure?

A two-company structure becomes relevant when the business develops two distinct operational areas. For example, an international trading arm through a free zone and a domestic distribution or service arm run through a mainland company.

This structure separates international trading and logistics activities from mainland operations. It should be introduced when the business actually requires it rather than at incorporation.

How does visa quota affect office size?

Visa quota is connected to the company’s workspace. A flexi-desk supports a limited number of visas. A physical office or warehouse supports a larger allocation.

IFZA for example, offers one visa per 9 square metres.

The investor should therefore plan the expected headcount before selecting the workspace.

What Corporate Tax and Compliance Rules Apply to a UAE Company?

A UAE company is subject to the UAE’s corporate and indirect tax framework. Free-zone status does not automatically remove Corporate Tax obligations.

Does a UAE company pay 9% Corporate Tax?

The UAE Corporate Tax system applies a 0% rate to taxable income up to AED 375,000 and a 9% rate to taxable income above that threshold. A free-zone company follows a separate regime only when it qualifies as a Qualifying Free Zone Person and satisfies the applicable conditions.

Therefore, a company should assess its tax position before assuming that free-zone incorporation means zero Corporate Tax.

Can a company qualify as a Qualifying Free Zone Person?

Yes, subject to the QFZP conditions. The FTA framework provides a 0% Corporate Tax rate on qualifying income for a Qualifying Free Zone Person.

A free zone being a Designated Zone for VAT does not automatically make it a Designated Zone for Corporate Tax purposes. The two concepts should be checked separately.

How does VAT apply to UAE services?

VAT registration becomes mandatory when taxable supplies and imports exceed AED 375,000 in the relevant circumstances. The standard 5% VAT rate, with specific zero-rating rules applies when the applicable conditions and documentation requirements are satisfied.

What UBO, AML and ESR requirements should a company consider?

A UAE company needs to maintain accurate beneficial ownership information.

Banks require UBO information during onboarding and ongoing compliance reviews.

AML controls are important where the company deals with cash-intensive transactions, high-risk jurisdictions or unusual counterparties.

UAE Economic Substance Regulations (ESR) were effectively narrowed down following the introduction of Corporate Tax. The company’s current filing position should be checked before assuming that no ESR obligation applies.

Does Emiratisation apply to a Bangladeshi-owned company?

Emiratisation requirements depend on the company’s jurisdiction, employee count and activity.

There are specific requirements for mainland companies with 50 or more skilled employees and separate requirements for companies with 20–49 employees in targeted sectors. For a small startup, this is not an immediate issue if the workforce remains below the applicable thresholds. It becomes more relevant when a mainland trucking or distribution operation expands.

Free Zone companies are currently exempt from Emiratisation.

How Can a Bangladeshi Investor Open a UAE Corporate Bank Account?

Corporate banking deserves attention from the beginning. Opening a bank account is often more demanding than incorporating the company.

Why is corporate banking an important consideration?

Banks assess the company’s business model, ownership, source of funds, expected transactions and commercial substance.

The process can take up to around 12 weeks for some new companies.

Bangladeshi nationality also requires careful preparation because the bank’s compliance team will conduct enhanced due diligence where its risk framework requires it. The investor should prepare:

Business plan

Company incorporation documents

Shareholder information

UBO register

Source-of-funds evidence

Expected transaction volumes

Expected counterparties

Client contracts where available

Website and business profile

Tax registration information

Office or warehouse details

A genuine operating model strengthens the overall application.

Does the investor need a UAE residence visa for corporate banking?

A UAE-resident shareholder or signatory is a common banking requirement. Most banks require at least one shareholder or signatory holding a UAE visa. This makes the residence visa an important part of the overall structure.

The investor should therefore treat company incorporation, immigration and banking as connected stages rather than completely separate projects

The strongest approach is to present a clear and consistent business profile. The company activity on the license should match the business plan. The expected transaction volumes should match the proposed operation. The source of funds should be documented from the outset. The minimum balance to open a corporate bank account in the UAE often starts around AED 50,000. Therefore, consider an SME-focused or fintech/ EMI first and then upgrade to a tier 1 bank

This approach also supports the investor during later immigration and compliance reviews.

What Bangladesh Bank Rules Apply When Funding the UAE Company?

Funding the UAE company requires attention to the investor’s position in Bangladesh.

Can a Bangladeshi resident freely remit investment capital to the UAE?

No. Outward remittance from Bangladesh is subject to foreign-exchange controls and Bangladesh Bank requirements. A Bangladeshi resident should not assume that capital can be transferred to the UAE simply because the UAE company has been incorporated.

The appropriate permission or permitted funding route needs to be established before the investment is funded.

Several legitimate funding routes are as follows:

Funds already held outside Bangladesh

Funds held by a non-resident Bangladeshi

Approved outward-investment or export-proceeds channels

Bangladesh Bank approval for qualifying outward investment

The correct route depends on the investor’s residency status and the source of funds.

Why is source-of-funds documentation important?

The same source-of-funds evidence supports two compliance processes.

First, it demonstrates that the investment has been funded through an appropriate Bangladesh channel.

Second, it supports UAE bank KYC and AML checks.

The investor should therefore maintain a clear audit trail from the original source of funds through to the UAE company.

What Should the Investor Know Before Relocating to the UAE?

The recommended structure allows the investor to separate business formation from physical relocation.

Can the investor manage the company remotely?

Yes, during the initial phase, a founder can own a free-zone company and manage business activities from outside the UAE. They can invoice clients and manage operations globally without residency

However, certain activities require UAE presence or UAE-resident authorised persons. These include:

Medical fitness examination

Emirates ID biometrics

Customs brokerage registration requirements

Certain banking requirements

RTA-regulated transport activities

Physical operation of the UAE business

Remote management is therefore best treated as an interim phase.

Can the investor sponsor a spouse and children?

A valid UAE residence holder is able to sponsor eligible family members subject to the applicable requirements. The UAE Government currently identifies a minimum salary requirement of AED 4,000 or AED 3,000 plus accommodation for family sponsorship.

A refundable deposit is available, of around AED 3,000 per family member in the investor sponsorship context. Typical documents include:

Attested marriage certificate

Attested birth certificates

Passports

Sponsor’s Emirates ID

Proof of income

Accommodation documentation

Medical fitness requirements apply to family members aged 18 and above.

Does the 180-day rule apply to an investor visa?

The standard residence visa should be managed on the basis that the 180-day continuous absence rule applies. A standard investor visa holder should re-enter the UAE at least once every six months during the remote-management phase.

Golden Visa, Green Visa and other qualifying long-term residence categories have different rules concerning extended absence.

For an investor who expects to spend long periods outside the UAE, the residence category should therefore be considered as part of the relocation plan.

Why is a visa pre-check recommended before company formation?

It is advisable for Bangladeshi investors to request a visa pre-check through the selected free zone authority. Several UAE free zones offer a preliminary immigration assessment for a nominal fee of AED 200 to 500, this fee however varies by free zone.

A visa pre-check helps confirm the viability of the proposed investor visa application before significant setup costs are incurred. It also provides greater clarity on the documentation requirements and application pathway for the investor.

What Are the Main Risks When Setting Up a UAE Company as a Bangladeshi Investor?

The risks are manageable when they are addressed before incorporation.

How significant is the risk of investor visa rejection or delay?

This is the main uncertainty in the proposed structure. Enhanced screening and additional documentation should therefore be expected.

The recommended mitigation is to prepare a complete application file, start with the company setup and keep the relevant ICP route as a fallback where appropriate.

What happens if the corporate bank rejects the application?

Bank rejection does not necessarily mean the business structure is unsuitable. It usually requires a review of the company’s commercial substance, ownership structure, source of funds and expected transactions.

The investor should avoid submitting inconsistent information to multiple banks. Instead, the business profile should be strengthened before the next application.

What happens if the licensed activity does not match actual operations?

This creates a compliance problem. A company licensed for freight-forwarding coordination should not operate its own trucks, customs brokerage function or physical warehouse without the required approvals.

The license should match the actual business. This is particularly important for tax treatment and QFZP status.

Why should investors avoid nominee or informal local-partner arrangements?

A nominee structure is unnecessary where the relevant activity permits 100% foreign ownership. It also introduces unnecessary legal and commercial risk. The ownership structure should therefore reflect the actual beneficial ownership of the business.

What tax and regulatory mistakes should a company avoid?

The company should monitor:

Corporate Tax registration and filing

QFZP conditions

AUP requirements

VAT registration

UBO records

AML requirements

Emiratisation requirements where applicable

Compliance should be built into the operating model from the beginning.

Why is Bangladesh exchange-control compliance important?

Funding the UAE company outside permitted Bangladesh channels creates a separate compliance risk, on both sides. The investor should establish the permitted funding route before transferring capital. The source-of-funds trail should then be maintained for UAE banking and compliance purposes.

What is the implementation roadmap for setting up a UAE company?

Stage

Action

Timeline

Indicative Cost (AED)

Pre setup

Confirm activity list; choose zone (Dubai South/JAFZA vs IFZA/RAKEZ); confirm source-of-funds & Bangladesh Bank position

1–2 weeks

Advisory fees

Incorporation

FZCO license, zero- or 1-visa package; MoA; establishment card

3–10 working days (remote OK)

License ~12,900–35,000 (by zone/warehouse); establishment card ~2,000 2,500

Investor Visa

Entry permit → (in-country) medical + Emirates ID biometrics → stamping; security clearance

1–4 weeks + open-ended clearance

Visa ~3,800–4,800/person + medical ~300–500 + insurance

Banking

Corporate account (resident signatory helps)

4–12 weeks

Min. balance often ~50,000

Tax Compliance

CT registration, VAT once turnover more than AED 375,000

Ongoing

Audit/AUP + advisory

Family

Sponsor spouse/children (income ≥ AED 4,000/mo; ~AED 3,000 deposit/dependent)

2–3 weeks each

Per-dependent visa fees + deposit

Upgrade

Golden Visa (SME ≥ AED 1m audited revenue, or AED 2m capital) once track record exists

4–6 months prep

GDRFA fees from ~2,280; total ~3,500–5,500 + service

What should you do before incorporating the company?

The investor should first confirm:

The proposed business activities.

The appropriate free zone or mainland jurisdiction.

The required physical infrastructure.

The investor visa position.

The Bangladesh Bank funding position.

The source of funds.

The expected visa requirement.

This stage prevents an inexpensive initial setup from becoming an expensive restructuring exercise later.

Conclusion

For a Bangladeshi investor, the path to UAE company runs through two separate tracks that need to move together: incorporation and residence. Incorporation is fast and largely remote, but residence calls for a complete, well-documented file and realistic expectations around timing.

The most important point is to align the company structure with the actual activity. Start with a simple free zone structure paired with a standard investor or partner visa. The golden visa becomes the natural next step once the business builds a genuine revenue or capital track record.

The UAE investor visa for a Bangladeshi national in 2026 requires particular attention to the immigration position. It should not be presented as an automatic approval. At the same time, the absence of a guaranteed exemption does not prevent the business from being structured properly and prepared for the residence application.

Stratrich Consulting can support investors through the company formation, jurisdiction selection, licensing, visa coordination, tax and compliance planning involved in establishing a UAE business.

Quick Summary Bangladeshi nationals can generally establish and own a UAE company, through a free zone structure with 100% foreign ownership for most activities.
