The DIFC is a special financial centre in Dubai. Businesses that want to establish a company there need to register their entity and obtain appropriate license for the activities they intend to carry out.  <\/p>\n\n\n\n<p>DIFC provides licensing options for four main types of businesses, each designed to accommodate specific commercial activities: <\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th><strong>License Category<\/strong> <\/th><th><strong>Activities Covered<\/strong> <\/th><\/tr><\/thead><tbody><tr><td>Financial Firms <\/td><td>banks, asset managers, insurers, fund managers and other regulated financial businesses. <\/td><\/tr><tr><td>Non-financial firms <\/td><td>consultancies, professional service providers, technology companies, holding structures and other commercial businesses <\/td><\/tr><tr><td>AI, FinTech and innovation firms <\/td><td>businesses using technology and innovation-focused models, including eligible AI and FinTech companies. <\/td><\/tr><tr><td>Retail and leisure business <\/td><td>restaurants, caf\u00e9s, shops, art galleries and other consumer-facing activities.  <\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>What is the difference between DIFC license and a DFSA license?  <\/strong><\/h3>\n\n\n\n<p>A DIFC license is a permission to establish and conduct approved business activities in the free zone. However, a DFSA authorisation is a regulatory permission from the Dubai Financial Services Authority (DFSA) to carry out financial services that fall within its regulatory scope.  <\/p>\n\n\n\n<p>Having a DIFC commercial license does not automatically authorise a company to provide regulated financial services. For example, a management consultancy providing ordinary business advice needs the appropriate DIFC commercial license. An investment firm managing client investments will need to consider DFSA authorisation as well as the relevant DIFC entity and licensing requirements.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Does your business need a DIFC license? <\/h2>\n\n\n\n<p>A business that intends to establish and operate an entity in the DIFC needs the appropriate DIFC registration and license for its activities. <\/p>\n\n\n\n<p>This includes a wide range of businesses, such as: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Management and business consultancies  <\/li>\n\n\n\n<li>Accounting and bookkeeping firms <\/li>\n\n\n\n<li>Legal and professional service providers <\/li>\n\n\n\n<li>Technology and software companies <\/li>\n\n\n\n<li>Marketing and public relations businesses <\/li>\n\n\n\n<li>Human resources and recruitment firms <\/li>\n\n\n\n<li>Corporate service providers <\/li>\n\n\n\n<li>Holding companies and managing offices <\/li>\n\n\n\n<li>Proprietary investment structures <\/li>\n\n\n\n<li>Family offices <\/li>\n\n\n\n<li>Restaurants and caf\u00e9s <\/li>\n\n\n\n<li>Retail businesses and art galleries <\/li>\n\n\n\n<li>Eligible AI, FinTech and innovation businesses <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>The permitted activity should accurately reflect what the company intends to provide. You should not select a broad activity simply because it sounds similar to its operations. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Do financial businesses need a DFSA license?  <\/strong><\/h3>\n\n\n\n<p>Yes. A regulated financial business that wants to operate in the DIFC will need two separate permissions, a DIFC commercial license, and a DFSA regulatory license. <\/p>\n\n\n\n<p>The Dubai Financial Security Authority or the DFSA is an independent regulator for Financial Services that are conducted in or from DIFC. Its authorisation is separate from the commercial licensing process administered by the DIFC Registrar of Companies. <\/p>\n\n\n\n<p>Financial businesses that fall within the regulatory perimeter include activities such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Banking <\/li>\n\n\n\n<li>Asset management <\/li>\n\n\n\n<li>Investment management <\/li>\n\n\n\n<li>Advising on financial products <\/li>\n\n\n\n<li>Arranging investments <\/li>\n\n\n\n<li>Dealing in investments <\/li>\n\n\n\n<li>Insurance and reinsurance <\/li>\n\n\n\n<li>Certain money services <\/li>\n\n\n\n<li>Certain crypto token activities <\/li>\n\n\n\n<li>Fund management and related regulated activities <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>But not every activity that involves money, investment or technology automatically requires a DFSA License. Whether the authorisation is required or not depends on your exact service, and if it applicable to regulatory rules.  <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>What is the difference between a DIFC commercial license and a DFSA license? <\/strong><\/h3>\n\n\n\n<p>Although both relate to businesses operating in DIFC, the two serve different purposes. <\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th><strong>DIFC commercial license<\/strong> <\/th><th><strong>DFSA license<\/strong> <\/th><\/tr><\/thead><tbody><tr><td>Issued through the DIFC Registrar of Companies <\/td><td>Issued by the DFSA <\/td><\/tr><tr><td>Used mainly for non-financial and commercial activities <\/td><td>Used for regulated Financial Services <\/td><\/tr><tr><td>Covers approved commercial activities <\/td><td>Specifies authorised Financial Services <\/td><\/tr><tr><td>Suitable for consultancies, technology firms and other non-financial businesses <\/td><td>Suitable for regulated financial firms <\/td><\/tr><tr><td>Does not authorise regulated Financial Services <\/td><td>Allows the firm to conduct the Financial Services approved by the DFSA <\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>Some non-financial firms can still fall under the DFSA Designated Non-Financial Business or Profession (DNFBP) framework. DNFBP are certain businesses and professions that can face specific anti-money laundering and counter terrorist financing obligations because of the nature of their activities.  <\/p>\n\n\n\n<p>Examples can include, certain legal, accounting, corporate service and real estate activities. Any business within the relevant framework needs to register with the DFSA as a DNFBP and comply with applicable requirements.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Types of DIFC License Are Available? <\/h2>\n\n\n\n<p>Not every company needs the same type of license or company structure. There are four broad types of DIFC licensing routes, and it is different for every business.  <\/p>\n\n\n\n<p>1. <strong>Non-regulated commercial license.<\/strong> This is for businesses that provide commercial and professional services and do not conduct activities requiring DFSA authorisation. Examples can include:  <\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\"><\/ol>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Management Consultancies <\/li>\n\n\n\n<li>Marketing Agencies <\/li>\n\n\n\n<li>Technology and software companies <\/li>\n\n\n\n<li>Accounting and bookkeeping firms subject to applicable requirements <\/li>\n\n\n\n<li>Business support services providers <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>2. <strong>DFSA-regulated financial license.<\/strong> This route is for firms that want to conduct Financial Services regulated by the Dubai Financial Services Authority (DFSA). For example, banks, brokers, asset managers and other financial firms. <\/p>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\"><\/ol>\n\n\n\n<p>3. <strong>Innovation License.<\/strong> DIFC offers an Innovation License route for eligible technology and innovation-focused businesses. It is intended to support businesses developing or using technology, including eligible startups working in areas such as software, artificial intelligence and financial technology. <\/p>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\"><\/ol>\n\n\n\n<p>4. <strong>Structuring vehicles.<\/strong> These are different from conventional commercial licenses. They are legal structures designed for specific purposes, such as holding assets, managing wealth or organising ownership.<\/p>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\"><\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>What Is the Innovation License offered by DIFC? <\/strong><\/h3>\n\n\n\n<p>The DIFC innovation license is a budget friendly entry point, for eligible technology startups and innovation focused businesses, who want to establish their presence in the DIFC. It targets artificial intelligence, Web3 and fintech businesses, and typically comes with a small visa allocation and access to the DIFC Innovation Hub. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>What Is a Prescribed Company, and What Changed in 2026? <\/strong><\/h3>\n\n\n\n<p>A Prescribed Company (PC) is a structuring vehicle, mostly used as a holding company. It has no visa allocation. It also has no need for a physical office. <\/p>\n\n\n\n<p>There are certain important changes that arrived on 24 July 2026. Under the updated PC Regulations: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The old qualifying requirements were removed, so access is now broader. <\/li>\n\n\n\n<li>A PC license is now limited to holding company activity, unless it was created for a defined &#8220;qualifying purpose&#8221;. <\/li>\n\n\n\n<li>Most PCs must now appoint a licensed Corporate Service Provider (CSP). <\/li>\n\n\n\n<li>Existing non-exempt PCs have six months from the enactment date to appoint one, unless the Registrar grants more time. <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>The stakes are real. If a prescribed company misses the deadline, it can lose its status and become an ordinary DIFC company. That brings office space, higher fees and heavier compliance duties. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What are the main requirements that you need for a DIFC License 2026? <\/h2>\n\n\n\n<p>The requirement depends on what your business does and the type of company you want to establish. Every business looking to establish in DIFC does not follow the exact same process.  <\/p>\n\n\n\n<p>For a typical non-financial entity, the key requirements include: <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>1. What business activity will you conduct? <\/strong><\/h3>\n\n\n\n<p>The proposed activity must be selected from the activities permitted by DIFC. DIFC&#8217;s non-financial activities guide includes areas such as management consultancy, accounting, technology consultancy, marketing, tax consultancy, software design and corporate services.  <\/p>\n\n\n\n<p>Some activities require further approval from another authority. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>2. Which legal structure will you use? <\/strong><\/h3>\n\n\n\n<p>DIFC offers several structures, you must select the one that matches your business purpose.  <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Private Company <\/li>\n\n\n\n<li>Public Company <\/li>\n\n\n\n<li>Recognised Company <\/li>\n\n\n\n<li>Partnerships <\/li>\n\n\n\n<li>Limited Liability Partnerships <\/li>\n\n\n\n<li>Special Purpose Companies <\/li>\n\n\n\n<li>Variable Capital Companies <\/li>\n\n\n\n<li>Foundations <\/li>\n\n\n\n<li>Non-Profit Incorporated Organisations <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>The appropriate structure depends on ownership, purpose, operations and the proposed activity.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>3. What company information must be provided? <\/strong><\/h3>\n\n\n\n<p>DIFC needs information about the proposed company and the people responsible for it. Depending on the structure, this can include constitutional documents, director information, shareholder details and other corporate information. <\/p>\n\n\n\n<p>The 2026 private company checklist also requires a Director Appointment Declaration for each appointed director. This is a formal declaration associated with the director&#8217;s appointment. The exact documents required depend on the entity type and current application checklist. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>4. Do you need additional regulatory approval for your business? <\/strong><\/h3>\n\n\n\n<p>Yes. In some cases, an additional approval, registration or No Objection Certificate (NOC) may be required. <\/p>\n\n\n\n<p>For example, DIFC identifies additional requirements for activities involving legal services, education, food businesses, certain real estate activities and other regulated areas. This means obtaining the DIFC license should not be treated as the final regulatory check.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5. Do you need a registered office? <\/strong><\/h3>\n\n\n\n<p>Yes. A DIFC entity needs an appropriate registered address. <\/p>\n\n\n\n<p>However, the arrangements depend on the company and its premises:  <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Some businesses lease private office space <\/li>\n\n\n\n<li>Some businesses use shared or co-working arrangements <\/li>\n\n\n\n<li>Certain premises managed by DIFC Investments Ltd follow specific procedures <\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>For qualifying leased premises outside DIFC Investments Ltd managed properties, the lease may need to be registered with the Registrar of Real property. It is important that you arrange an address that satisfies the requirements applicable to your entity. You shouldn\u2019t assume that every office arrangement is accepted for every license. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Can a foreigner own 100% of a DIFC company? <\/h2>\n\n\n\n<p>Yes. Foreign investors can establish DIFC companies without a local ownership model associated with some other jurisdictions. <\/p>\n\n\n\n<p>This makes DIFC particularly attractive to international groups seeking a regional headquarter, holding structure, professional services base or financial centre presence. <\/p>\n\n\n\n<p>Ownership, however, is only one part of the setup. The proposed activity, legal structure, regulatory requirements and office arrangements still need to meet DIFC rules.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How do you apply for a DIFC license for your business? <\/h2>\n\n\n\n<p>For a non-financial entity, the 2026 DIFC process broadly follows five stages: <\/p>\n\n\n\n<p><strong>1. Submit the application <\/strong><\/p>\n\n\n\n<p>The company registration application is submitted through the DIFC Portal. <\/p>\n\n\n\n<p><strong>2. Receive initial approval <\/strong><\/p>\n\n\n\n<p>DIFC reviews the application and issues an initial approval email after the preliminary review. The current handbook states that this typically takes three to five working days. <\/p>\n\n\n\n<p><strong>3. Arrange the registered address <\/strong><\/p>\n\n\n\n<p>The entity completes the relevant office or address requirements after initial approval. <\/p>\n\n\n\n<p><strong>4. Sign documents and pay fees <\/strong><\/p>\n\n\n\n<p>Constitutional documents are electronically executed. Applicable license, certificate, data protection and other fees are then paid. <\/p>\n\n\n\n<p><strong>5. Receive the license and certificate <\/strong><\/p>\n\n\n\n<p>Once the required steps are completed, DIFC issues the entity&#8217;s license and Certificate of Incorporation or Registration. <\/p>\n\n\n\n<p>Financial businesses follow a different route.
