Businesses in Dubai rarely follow a straight path. The market can change, people’s situations can change, and sometimes the most sensible thing to do is to take a break instead of shutting down the business completely. At such a time, the natural reaction for any businessman would be to either pay the annual fee for renewal or cancel the entire business venture for later.
What many businessmen fail to realise at this point is that there is a third alternative: freezing the trade license in Dubai.
It is a process that allows a businessman to suspend his business activities for a while without surrendering his license to the authorities. If you find yourself in a similar situation, here is what you should know.
Freezing a trade license means formally requesting that your license be placed in an inactive status for a set period. During this time, the company stops operating in every sense, no invoices, no payments, no contracts, no commercial activity of any kind. But the license itself remains on record. The trade name is preserved, ownership structure stays intact, and the legal entity does not cease to exist.
This is what separates a freeze from a cancellation. A frozen license can be brought back to life. While the cancelled one cannot, you would have to register an entirely new company, with new costs and a new license number, losing the identity your business had built.
In Dubai, the Department of Economy and Tourism (DET) manages this process for mainland-registered companies. Free Zone businesses follow the rules of their respective authority, which can vary considerably from one zone to another.
Not every business type qualifies for the same duration for freezing their trade license. There is one condition that catches many people off guard; that is a license can only be frozen after it has expired. This is a non-negotiable requirement as no sponsored employees can remain active under a company that is being frozen. You will need to obtain a formal confirmation letter from the Ministry of Human Resources and Emiratisation (MOHRE) confirming that no individuals remain sponsored under the company.
The letter should clearly state that you are requesting a temporary suspension, give a brief explanation of why, and indicate the intended duration. Keep it straightforward, there is no need to over justify.
The DET’s inspection division must verify that the business is genuinely inactive and not engaged in any commercial activity at the time of the request. This report is submitted as part of your application.
Any monthly penalties that have accrued since the license’s expiry date must be settled before the freeze can be approved. These are charged at a per-month rate, so the longer you wait after expiry, the more you will need to clear up front.
Once all of the above is in order, the completed application is submitted to DET along with the applicable fee.
For mainland DET-registered companies, the standard fee is approximately AED 2,020, and this covers the full freeze period of up to three years. In addition, any overdue monthly fines from the expiry date must be settled separately before approval is granted.

There are situations where freezing the trade license is the right call.
That said, freezing is not the right solution for everyone. If you have no intention of returning to this business, a formal cancellation is the more responsible route. Leaving a license frozen and then allowing the freeze period to expire without action creates the same accumulation problem you were trying to avoid, fines restart, obligations pile up, and the ability to register a new company can be blocked until everything is cleared.
When you are ready to resume operations, the process is relatively simply. Submit a reactivation request to the DET, provide a valid Ejari-registered lease agreement for your business premises, and pay any applicable fees. The license is then renewed and reinstated.
It’s important to act before the freeze period ends. If the freeze expires and you do not take action, fines begin to accumulate again. Under UAE regulations, a license that remains non-renewed for five consecutive years can be automatically cancelled by the DET and any partners linked to that license may find themselves unable to register new businesses until all outstanding dues are paid in full.
Freezing a trade license in Dubai is one of those regulatory options that reflects the UAE’s broader commitment to giving businesses room to recover rather than forcing premature closure. It acknowledges that good businesses sometimes face difficult periods and that preserving the framework the trade name, the entity, the legal standing is often worth more than starting over.
