It is a process that allows a businessman to suspend his business activities for a while without surrendering his license to the authorities. If you find yourself in a similar situation, here is what you should know. 

What does it actually mean to freeze a trade license in Dubai? 

Freezing a trade license means formally requesting that your license be placed in an inactive status for a set period. During this time, the company stops operating in every sense, no invoices, no payments, no contracts, no commercial activity of any kind. But the license itself remains on record. The trade name is preserved, ownership structure stays intact, and the legal entity does not cease to exist. 

This is what separates a freeze from a cancellation. A frozen license can be brought back to life. While the cancelled one cannot, you would have to register an entirely new company, with new costs and a new license number, losing the identity your business had built. 

In Dubai, the Department of Economy and Tourism (DET) manages this process for mainland-registered companies. Free Zone businesses follow the rules of their respective authority, which can vary considerably from one zone to another. 

Is your business eligible to freeze its trade license? 

Not every business type qualifies for the same duration for freezing their trade license. There is one condition that catches many people off guard; that is a license can only be frozen after it has expired. If your license is currently active and recently renewed, freezing is not an option at this stage. Once the trade license is expired, the following applies: 

  • Most mainland companies registered with DET can freeze their license for up to three years. This is the maximum period allowed, and it cannot be extended. 
  • Sole establishments businesses registered as single-owner entities under DET are limited to a maximum freeze of one year. 
  • Free zone companies operate under the rules of their specific authority. Some permit a freeze of six months to one year; others may allow longer durations. Always confirm terms directly with your free zone before assuming eligibility. 
  • One additional point worth knowing is that the freeze option can only be applied once during the lifespan of a company. This is not a revolving facility you can use repeatedly. 

What are the requirements before you can freeze your trade license? 

The freeze process for a trade license involves several mandatory clearances. Missing any one of them stalls the application 

1. Cancel all employment visas under the license 

This is a non-negotiable requirement as no sponsored employees can remain active under a company that is being frozen. You will need to obtain a formal confirmation letter from the Ministry of Human Resources and Emiratisation (MOHRE) confirming that no individuals remain sponsored under the company. 

2. Submit a formal request letter on company letterhead 

The letter should clearly state that you are requesting a temporary suspension, give a brief explanation of why, and indicate the intended duration. Keep it straightforward, there is no need to over justify. 

3. Obtain a DET inspection report 

The DET’s inspection division must verify that the business is genuinely inactive and not engaged in any commercial activity at the time of the request. This report is submitted as part of your application. 

4. Clear all outstanding fines 

Any monthly penalties that have accrued since the license’s expiry date must be settled before the freeze can be approved. These are charged at a per-month rate, so the longer you wait after expiry, the more you will need to clear up front.

How much does freezing a trade license in Dubai cost? 

For mainland DET-registered companies, the standard fee is approximately AED 2,020, and this covers the full freeze period of up to three years. In addition, any overdue monthly fines from the expiry date must be settled separately before approval is granted. 

To put things into context, it’s best to compare the various options. 

  • Mainland license renewal usually ranges from AED 8,000 to AED 15,000 annually depending on whether there are obligations relating to the office lease payments.  
  • Official cancellation of a license incurs costs related to the formalities of paying the DET government fees amounting to AED 3,530, an obligatory audit report for liquidation (AED 1,499), notice in newspapers and the process of getting everything notarized, thus making the total cancellation fee range from AED 6,000 to AED 8,000 or even higher.

What remains permitted: 

  • Partners and shareholders retain full ownership rights and can establish new businesses under their own names during the suspension period

  • Tax obligations. A frozen license does not exempt the company from its responsibilities to the Federal Tax Authority. If the business is VAT-registered, filings must continue.   • If you are completely certain that the business will not resume, full cancellation, including VAT and corporate tax deregistration, is likely the cleaner and ultimately less costly path. A freeze is designed for businesses that genuinely intend to return not as a way to defer regulatory responsibilities indefinitely.

When does freezing the trade license make sense? 

There are situations where freezing the trade license is the right call.

Businesses that undergo restructuring or new partnerships usually adopt such strategies during this period to solve their internal issues and get back into business. 
  • Businesses having seasonal operations and that operate in specific seasons can also consider using this method. It is equally relevant for business owners who have significant brand equity tied to a trade name. Losing a well-established trading identity by allowing a license to lapse is a cost that never appears on a balance sheet but is felt long after the fact. 

That said, freezing is not the right solution for everyone. If you have no intention of returning to this business, a formal cancellation is the more responsible route. Leaving a license frozen and then allowing the freeze period to expire without action creates the same accumulation problem you were trying to avoid, fines restart, obligations pile up, and the ability to register a new company can be blocked until everything is cleared. 

How do you reactivate a frozen trade license? 

When you are ready to resume operations, the process is relatively simply. Submit a reactivation request to the DET, provide a valid Ejari-registered lease agreement for your business premises, and pay any applicable fees. The license is then renewed and reinstated. 

It’s important to act before the freeze period ends. If the freeze expires and you do not take action, fines begin to accumulate again. Under UAE regulations, a license that remains non-renewed for five consecutive years can be automatically cancelled by the DET and any partners linked to that license may find themselves unable to register new businesses until all outstanding dues are paid in full.
