UAE Trade License Amendment Guide: Costs, Steps & Common Mistakes to Avoid

Having issues with keeping your UAE business license up to date? You are not alone. Thousands of businesses face costly delays and headaches every year due to missed amendments to trade licenses. From offering new services to changing ownership, failing to amend your business license can freeze your bank accounts, stall your contracts, and even result in a fine of AED 5,000 or more.

Even well-known companies like Careem and Emirates NBD have faced operational challenges due to the evolving licensing landscape in the UAE. In 2024, over 47,000 beneficial ownership updates have been processed in Abu Dhabi, reflecting the significance and extent of these updates.

Since the UAE issued over 200,000 new licenses last year and the country is experiencing significant growth, UK entrepreneurs need to update their trade licenses to prevent costly penalties.

This blog clarifies the entire amendment process so you can stay compliant and keep your business moving forward.

What types of amendments can you make to your UAE Trade License?

Trade license amendments cover any changes to your business registration details. These updates ensure your license reflects your current operations and ownership accurately.

Business activity changes

Adding or removing activities is the most common amendment. Whether shifting from retail to e-commerce or diversifying sectors, every activity must appear on your license.

Operating outside of licensed activities risks fines starting from AED 5,000 and/or suspension. The UAE provides more than 2,000 business activities, and all have a specific code that needs to be recorded.

Shareholder and ownership changes

Amendments related to ownership changes include formalizing the changes, adding or deleting partners, transferring shares, changing the business form, and updating the percentage of beneficial ownership. Abu Dhabi experienced an increase of 16% in new licenses in 2024, and most amendments related to ownership restructuring to fulfil the beneficial ownership requirements.

Company name and trade name updates

Changing your trade name requires approval and must follow UAE naming rules, avoiding religious references, offensive terms, or names used by other companies.

Other common amendments

LLCs may need to adjust authorised capital, update registered addresses, modify signatory authority, or convert legal structures by adding shareholders.

Why keeping your UAE license updated is crucial for business continuity?

Your trade license is the legal base of your UAE operation.

  • Banks check business activities before opening accounts or processing transactions. If your company’s operations don’t match your license, your account may freeze, or transactions might be rejected.
  • Government tenders and big contracts require valid licenses. Outdated details can disqualify bids or invalidate agreements, costing you opportunities.
  • License type also determines the employee quota, and adding professional services might increase the sponsorship quota, while incorrect classifications may lead to rejected visas.
  • Also, the Department of Economic Development checks licenses, and fines will be imposed, ranging from AED 500 up to AED 5,000 per month if there’s non-compliance.
  • Clients and partners can check licenses through government websites, and having accurate information promotes trust and shows professionalism.

What documents do you need to submit for trade license amendments?

To prevent delays, these documents are best prepared prior to application:

  • Original trade license
  • Valid passports of the shareholders/managers
  • copies of Emirates ID
  • Notarized resolution or consent letters
  • Filled-out application forms (BR-1, for example, for mainland)

For activity additions, the required documents are:

  •  Initial approvals and sector-specific approvals such as Dubai Municipality for food establishments or the Ministry of Health for medical services.
  • No Objection Certificates (if required)

If there are any shareholder changes, you will be required to provide:

  • Share transfer agreements
  • Amended MOA
  • New shareholder ID
  • Sales/purchase agreements

If there are address changes, you will be required to provide:

  •  Tenancy contracts
  • Ejari registration
  • Utility bills
  • Municipality approvals

What is the step-by-step process for amending your trade license?

The process for amending your trade license varies based on Mainland, Free Zone and Emirates:

Mainland Dubai (DED)

Identify required changes and review your license against operations. For new activities, apply for initial approval via DED’s e-services (3-5 days).

Gather documents, get MOA amendments translated and signed, submit via DED portal or Tasheel centre with the BR-1 form.

After approval, pay fees and download your updated license within 1-2 working days. Check details immediately.

Free Zone Amendments

Use your Free Zone portal to submit amendment requests, upload documents, pay fees, and get your updated license digitally in 3-5 days.

Abu Dhabi Mainland

Use the TAMM portal for business license amendments; expect processing within 7-15 days.

Sharjah Mainland (SEDD)

Submit your amendment request via the SEDD portal or a Tasheel centre. For structural changes (like adding a partner), prepare a notarized Addendum to the MOA. Pay the fees and collect your updated physical license from a SEDD service centre.

Timeline: Usually, 3-5 working days.

Ajman Mainland (Ajman DED)

Use the Ajman DED eServices portal or their smart app. Upload required documents (updated tenancy, partner IDs, etc.) for initial approval. Pay fees digitally. Ajman is highly automated; simple informational updates can take as little as one day.

RAK (RAKEZ / RAK DED)

Submit a Shareholders’ Resolution detailing the changes through the RAKEZ portal or DED office. The authority will often prepare the MOA Addendum for you internally once the request is reviewed. Finalize payment and download the digital license.

Timeline: Expect 2-3 working days.

Fujairah & UAQ Mainland

Process: These are more manual. You must visit the respective DED offices with your current license, board resolution, and updated MOA.

Timeline: Generally, 2-4 working days.

What are the common mistakes you should avoid?

Avoid starting activities before amendments finish, as this can lead to risks of added fines. Don’t wait until license expiry to combine steps, causing rush and errors.

Ensure all Arabic documents have certified translations, get partner signatures before submission, and check the validity of passports and tenancy contracts throughout.

Choose precise activity codes, research required pre-approvals and verify compatible activities. Notify banks of changes affecting signatories or ownership immediately. Inform clients and update visa sponsorship after structural changes.

How have the license requirements evolved under the 2026 regulations?

Federal Decree Law No. 20 (2025) also enhances corporate governance and the level of protection afforded to whistleblowers, compelling the vast majority of businesses to review and update their MOAs to reflect changes to rules regarding share classes and appointments to the management team. The dual-licensing system is also live, following the introduction of Dubai Executive Council Resolution No. 11 (2025), which formalizes the operations of Free Zone companies on the mainland.

Additionally, the Department of Economy and Tourism (DET) has now published the entire list of qualifying activities, making the process of expanding significantly easier for UK and international entrepreneurs looking to enter the Dubai marketplace. Cabinet Resolution No. 12 (2024) also includes flexible work regimes in its licensing system, and this affects premises and activity licenses.

Further, new regulations under Federal Decree-Law No. 10 (2025) also require real-time reporting on beneficial ownership, extending beyond 2024 markers to ensure full compliance with anti-money laundering regulations before the mid-2026 global evaluation.

How much does a license amendment cost in the UAE?

Amendment costs vary by jurisdiction, amendment type, and business structure:

The cost in Abu Dhabi is similar to that of Dubai, though the final cost varies depending on the complexity of the amendments. There is an additional cost of AED 500 to AED 1,500 of professional service fees for legal translation and notarization.

The Free Zone costs vary according to the Free Zone. The costs for DMCC, JAFZA, and Dubai Silicon Oasis range between AED 1,000 to AED 3,000 for amendments. There was a reduction of at least 50% or more in commercial license fees for non-financial businesses at ADGM, effective from January 2025.

Most companies hire PRO service providers or consultants who charge between AED 1,500 to AED 5,000, depending on the amendments’ complexity.

Note: There is a penalty for amendments done after the deadline, ranging between AED 500 to AED 1,000, plus AED 250 monthly for expired licenses.

Amendment Type Estimated Cost Range
Adding/Removing Activities AED 1,550 – AED 3,000
Shareholder Changes AED 2,000 – AED 5,000
Company Name Change AED 1,000 – AED 2,500
Legal Structure Conversion AED 5,000 – AED 10,000
Registered Address Update AED 500 – AED 1,500
MOA Amendments (LLCs) AED 2,000 – AED 4,000

What happens if you don’t amend your trade license?

Fines start at AED 5,000 for operating without proper activities, AED 250 monthly for expired licenses, and AED 1,000-3,000 for failing shareholder updates. Free zone violations begin at AED 500 and escalate.

Banks can freeze the accounts until the problems are solved. Contracts entered with non-compliant licenses are likely to face litigation issues. Government and corporate tender bids require the presence of licenses; otherwise, the company is disqualified.

Issuance or renewal of visas for the company staff can be denied, and non-compliance can result in blacklisting and suspension of the license, thus forcing the company to close down.

Conclusion

License amendments are crucial in the protection and growth of businesses across the UAE. More than 200,000 new licenses being issued in 2024 shows very strong enforcement. UK entrepreneurs and business owners who are prompt with the requirements of amendments protect their operations and avoid fines.

Periodic license reviews, professional advice, the use of digital government tools, and strategic planning will drive your business’s growth and optimise tax benefits.

With constant regulatory updates and digital improvements, effective license amendment management will ultimately help UK businesses in the Emirates capitalise on opportunities while remaining compliant.
